Partner Due Diligence

Know What a Candidate Won't Tell You
Before You Appoint Them

A distributor or dealer who looks credible on paper can still carry risks that only surface after you have signed an agreement and invested in the relationship. Portfolio conflicts that compromise your category. Overstated territory coverage. Service infrastructure that cannot support your product in the field. Financial instability that puts continuity at risk.

DealerGTM's Partner Due Diligence service is a structured pre-appointment assessment designed to surface exactly these risks before a commitment is made. It is the step between a promising shortlist and a confident appointment — and the one most manufacturers skip.

The Challenge

The Cost of Appointing the
Wrong Partner

Candidate evaluation during the appointment process is typically shallow. Manufacturers review a profile, take a call, and move forward on instinct and availability. The risks that matter most are rarely volunteered by the candidate, and there is seldom a structured process in place to find them.

Four categories of risk come up repeatedly in channel appointments that later unwind.

Portfolio Conflicts
A candidate may already carry a competing or overlapping line that limits how actively they can represent yours — or creates direct channel conflict that neither party acknowledges at the outset.
Overstated Customer Coverage
Claimed territory reach and actual customer relationships are rarely the same thing. A candidate's footprint may look broad on a map and prove thin in practice, leaving your product underserved.
Weak Service Resourcing
A partner without the trained staff or facilities to deliver field support, installation, or aftersales attention for your product is a liability, not an asset.
Financial Instability
A distributor under commercial pressure will deprioritize investment in your line at exactly the moment you need it most, creating continuity risk through the ramp-up period.

Beyond these four, territorial ambiguity — where the scope of an appointment is left loosely defined — creates the conditions for disputes later in the relationship. Poor-fit partners are also expensive and time-consuming to exit once the appointment is embedded. The cost of skipping due diligence is not just a bad partner. It is the months required to unwind one.

Our Approach

A Structured Assessment,
Not a Reference Check

DealerGTM's due diligence process is criteria-based and documented — a structured investigation across the dimensions that predict whether a partner will perform and whether appointing them creates downstream risk.

Territory Definition
Before any candidate is evaluated in depth, the scope of the appointment is made explicit — geographic boundaries, product scope, and exclusivity terms. Resolving territorial ambiguity before the appointment, rather than during a conflict, is one of the most consequential steps in the process.
Portfolio and Conflict Assessment
Maps the candidate's existing lines against your category — not simply to identify direct competitors but to assess whether any existing commitments limit how actively and exclusively the partner can represent your product.
Coverage Verification
Tests whether claimed customer reach reflects real, active commercial relationships in the territory — geographic presence, end-customer access, and the sales infrastructure to reach the accounts that matter for your category.
Service and Technical Resourcing
For manufacturers whose products require field support, installation, warranty service, or trained technical staff, we assess whether the candidate can credibly deliver the aftersales environment your customers will expect.
Financial Stability
Identifies candidates who may be under commercial pressure that would compromise their capacity to invest in a new line or sustain the relationship through a typical ramp-up period. Each dimension is assessed with the same specificity and documented with the same rigour.

Deliverables

What You Receive

Every Partner Due Diligence engagement produces a clear, documented output — not a verbal summary or an informal recommendation. The deliverables are designed to support a confident appointment decision and provide a structured record of the assessment.

Due Diligence Report Per Candidate
A documented assessment of each candidate under review, covering portfolio conflicts, coverage claims, service resourcing, financial stability, and territorial scope. The report records what was assessed, what was found, and where gaps or inconsistencies were identified.
Risk Flags With Context
Where risks are identified, they are named specifically and given commercial context — not listed as abstract concerns. You receive clarity on what the risk is, why it matters for this appointment, and what it would mean in practice if left unaddressed.
Go / No-Go Recommendation With Rationale
Each assessed candidate receives a clear go or no-go recommendation, with the reasoning made explicit. Where a candidate is recommended with conditions — specific terms, territory constraints, or structural safeguards — those are documented so they can be built into the appointment process.
Territory Scope Definition
A resolved territory definition that removes ambiguity from the appointment before it is made, reducing the conditions that lead to scope disputes later in the distributor or dealer relationship.
